These Terms apply to all quotations, offers and services provided by SBA92 (Laan van Meerdervoort 503, Den Haag, NL; SIREN 95516646) in connection with earthworks, cable installation and civil engineering services.
1. Definitions
Client: the natural or legal person ordering the Services. Services: the works described in our quotation, scope or contract. Contract: the agreement between SBA92 and the Client including these Terms.
2. Quotations & Scope
- Quotations are non-binding until accepted in writing and are valid for 30 days unless stated otherwise.
- Scope includes only items expressly listed. All other items are excluded or treated as variations.
- Drawings, utility plans and information provided by the Client are relied upon as accurate.
3. Pricing & Payment
- Prices are exclusive of VAT unless specified. Invoices are due within 14 days of issue.
- Interest may be charged on overdue sums at the Dutch statutory rate. We may suspend work for non-payment.
- Mobilisation, permits, traffic management, disposal of contaminated materials and unforeseen conditions are chargeable if not included.
4. Variations & Unforeseen Conditions
- Changes requested by the Client (design, quantities, access windows, working hours) are treated as variations and will be priced/time-adjusted.
- Uncharted services, rock, groundwater, contamination, archaeological finds and similar conditions entitle an adjustment to time and cost.
5. Client Responsibilities
- Provide timely access, information, approvals and necessary utilities.
- Identify underground services and obtain third-party consents unless otherwise agreed in writing.
- Ensure the site is safe and free of hazardous materials unless remediation is included in the scope.
6. Health, Safety & Environment
We work to applicable laws, standards and our HSE procedures. The Client must inform us about site-specific rules and risks.
7. Programme & Delays
Dates are estimates. We are not liable for delays caused by weather, third parties, late information, utilities, strikes, or other events beyond our reasonable control (force majeure).
8. Quality, Inspection & Handover
Works will conform to the Contract and relevant standards. The Client shall inspect on practical completion; defects will be rectified within a reasonable period.
9. Warranty
We warrant workmanship for 12 months from practical completion unless the Contract specifies otherwise. Warranty excludes misuse, lack of maintenance, or changes by others.
10. Liability & Insurance
- Our aggregate liability is limited to the contract value actually paid or EUR 250,000, whichever is lower, except for death/personal injury or fraud where the law prohibits limitation.
- We maintain customary professional and public liability insurance for our activities.
11. Materials & Title
Title to materials passes upon full payment. Risk transfers on delivery to site or incorporation into the Works.
12. Photos & Marketing
We may create non-confidential photos or short clips of the Works for portfolio/marketing unless the Client objects in writing in advance.
13. Data Protection
Personal data is processed in accordance with our Privacy Policy.
14. Termination
Either party may terminate for material breach not cured within 14 days of notice. The Client shall pay for the Works executed, committed costs, demobilisation and reasonable margin.
15. Governing Law & Disputes
These Terms are governed by the laws of the Netherlands. Parties will first attempt amicable resolution; failing that, the competent courts of The Hague have exclusive jurisdiction.
16. Consumers
If the Client is a consumer, mandatory statutory rights apply and prevail over conflicting terms.
17. Miscellaneous
Invalidity of any clause does not affect the remainder. No waiver is effective unless in writing.
